Partner Program Terms
Version 2026-10-03.2 · Last updated: 3 October 2026
These terms govern participation in the WorldwideBioResearch Ltd Partner Program (the “Program”). By applying to the Program you agree to these terms, our Terms of Service and our Research Use Only Agreement. Where these terms and the Terms of Service conflict in relation to the Program, these terms apply. We keep a record of which version of these terms each partner accepted and when.
1. Eligibility
The Program is open to holders of an approved WorldwideBioResearch account in good standing. Applications are reviewed by hand; we aim to respond within two working days but do not guarantee a response time. We may approve or decline any application at our discretion and without giving a reason, and may withdraw an approval at any time under section 9.
One Program account per person or organisation. A partner may not hold more than one partner code.
2. Commission rates
Rates are flat and do not change with volume.
- First order: 20% of the commissionable value of a referred customer’s first order (as defined in section 3).
- Reorders: 10% of the commissionable value of every further paid order placed with the partner’s code, for as long as the partner remains approved. There is no time limit: reorder commission does not expire, however long after the customer’s first order the reorder is placed.
Tiers. These standard rates are the Standard tier. The Elite tier earns 20% on every order, first orders and reorders alike. We may also agree a named tier with an individual partner at other rates. The partner’s tier is shown on their dashboard. Elite, and any named tier earning at least 20% on first orders and 20% on reorders, may choose how cashouts are paid (section 6).
These are the standard rates and apply unless different rates have been agreed with a partner in writing. Rates may differ for individual partners by written agreement (an email from us, or an invitation link from us that states the rates, counts as written agreement), in which case the agreed rates replace the standard ones for that partner and are shown in their partner dashboard. Individually agreed rates are confidential under section 11. A change to a partner’s rates applies only to commission earned after the change: commission already recorded keeps the rate at which it was earned.
The commissionable value of an order is the product total the buyer actually paid after all discounts (partner code, quantity discount and crypto), before any card or crypto processing fees, and excluding shipping and shipping protection. Taxes and duties are excluded too.
Commission is earned only when an order is paid in full and confirmed by us. Orders that are cancelled, unpaid, underpaid or placed on hold for review earn no commission.
3. Customer discount
A customer who places an order with a partner’s code while the partner remains approved receives 15% off the product subtotal of their first order, and 10% off the product subtotal of every later order placed with the code. An order is the customer’s first order if they have no earlier order that has been paid and not cancelled or refunded in full. The partner discount is the order’s one code: it cannot be combined with the welcome offer or any other discount or promotional code. Discounts apply one after another, each on the amount left after the one before: any quantity discount first, then the partner discount, then the cryptocurrency payment discount.
First-order treatment is limited per household. A delivery address or phone number can receive the first-order customer discount, and earn the first-order commission rate, for at most two customer accounts. An order from a further account whose delivery address or phone number matches earlier paid orders from two other accounts is treated as a reorder: the customer receives the reorder discount and the commission is calculated at the reorder rate.
Partner commission is calculated on the product total the buyer actually paid after all discounts (partner code, quantity discount and crypto), before any card or crypto processing fees, and excluding shipping and shipping protection (the commissionable value in section 2), at the rates in section 2. Commission already recorded keeps the value on which it was calculated.
We may change or withdraw the customer discount on notice.
4. Attribution
- A customer is attributed to a partner when they register with the partner’s code (whether pre-filled from the partner’s referral link, carried by the referral cookie, or entered by hand), or when an existing customer with no prior attribution enters the partner’s code at checkout.
- The referral cookie lasts 30 days from the click. A researcher who registers with a partner code has that partner saved as their referral preference; the researcher may change or remove it at any time, and commission is earned only on orders actually placed with the partner’s code.
- A customer can be attributed to one partner only, ever. Attribution is first-come and is not transferred, shared or reassigned.
- A partner may not be attributed to themselves. Orders placed by the partner, by anyone acting for the partner, or by accounts the partner controls earn no commission.
- Attribution records are maintained by us and are final.
5. Hold, clearance and reversal
Commission is recorded as pending when the order is paid and is held for 14 days by default, after which it clears and becomes available to cash out. A shorter hold may be agreed with an individual partner in writing; it applies to commission recorded after the agreement. If the order is refunded, charged back, disputed or otherwise reversed at any time – before or after clearance, and before or after payout – commission is clawed back in proportion to the amount refunded: the clawback is the refunded amount divided by the order total, multiplied by the commission the order originally earned. A full refund claws back the whole commission; a partial refund claws back the same fraction of it, and further partial refunds on the same order claw back further in the same way.
Where the commission has not yet been paid out, it is reduced by the clawback (and reversed entirely once the order is fully refunded). Where the commission has already been paid out, or is included in a pending cashout request, the clawback is deducted from the partner’s available balance. A clawback can take the balance below zero. A negative balance is offset first by the partner’s future commissions as they clear, and no cashout can be requested until the available balance is again at or above the minimum in section 6. We may request repayment of a negative balance where the partner leaves the Program or the partner account is terminated.
We may also withhold or reverse commission where we reasonably believe an order was placed in breach of these terms, the Terms of Service or the Research Use Only Agreement, or is fraudulent.
6. Cashouts
- Cashouts are made on request from the partner dashboard, for the whole available balance, once the available balance is at least $50. Requests are refused for 48 hours after the payout wallet address or payout method is changed.
- Payout method by tier. Standard partners, and partners on agreed rates below the Elite level, are paid in USDC on the Base network. Elite partners, and partners on a named tier earning at least 20% on first orders and 20% on reorders, choose one payout method in the partner dashboard: USDC on Base (the default), USDC on Ethereum, USDC on Polygon, USDC on Solana, USDT on Ethereum, USDT on Tron, ETH or BTC. If a partner’s tier changes to one without a choice of method, later cashouts are paid in USDC on Base.
- Each cashout is paid by the method and to the wallet address saved in the partner dashboard at the time of the request. The address must be on the network of that method. The partner is solely responsible for the accuracy of that address; payments to an address the partner supplied cannot be recovered or reissued.
- Commission amounts are denominated in US dollars and paid as the equivalent amount of the chosen asset at the time of sending. The network fee for sending a cashout is deducted from the amount paid, except for USDC on Base, where the fee is a fraction of a cent and we cover it. Any fees for receiving, converting or withdrawing are borne by the partner.
- Cashouts are reviewed and paid within 5 working days of the request.
- A balance below the minimum stays in the partner’s account until it reaches the minimum. When a partner leaves the Program, or we end their participation other than for breach, we pay any available balance on request, even if it is below the minimum.
7. Program rules
Partners must not:
- run paid advertising that targets our brand name, product names or misspellings of them, or bid on them as keywords;
- list or distribute their code or link on coupon, voucher, deal or cashback sites;
- refer themselves, or place orders through their own code directly or indirectly;
- send unsolicited messages of any kind – email, direct message, SMS or otherwise – to promote their link;
- promote without disclosing clearly that they are a WBR partner and may earn commission;
- alter, remove or contradict the research-use-only wording. All products are for laboratory research only, not for human or veterinary use, and must be described as such;
- make or imply any claim about dosing, human or animal use, or therapeutic, cosmetic or performance effect;
- misrepresent WorldwideBioResearch, its products, pricing or the Program.
Refunded or disputed orders reverse commission (section 5).
8. Content and materials
Approved product descriptions, images, wording and templates are made available to approved partners for the sole purpose of promoting the Program in accordance with these terms, and remain our property. We do not monitor partner content and take no responsibility for it. Partners are independently responsible for their content and for compliance with all applicable advertising, consumer-protection and data-protection laws, and agree to indemnify and hold WorldwideBioResearch Ltd harmless from any claim, loss or liability arising from their promotional activity.
9. Suspension and termination
We may suspend or terminate a partner account at any time, with or without notice, where we reasonably believe there has been a breach of these terms, the Terms of Service or the Research Use Only Agreement, or where the partner’s activity risks harm to our reputation or to compliance with any law. On termination for breach, all unpaid commission (pending, cleared or requested) is forfeited.
We may also end a partner’s participation for any other reason on 14 days’ notice by email. A partner may leave the Program at any time by emailing support@worldwidebioresearch.com. In either case commission earned up to the end date remains payable under sections 5 and 6, and clawbacks under section 5 continue to apply to it.
We may close the Program at any time on 14 days’ notice; commission earned before closure remains payable under sections 5 and 6.
10. Changes to these terms, rates and the Program
We may change these terms, the standard or individually agreed commission rates, the customer discount, the hold period, the payout minimum or method, or any other part of the Program. We will give at least 14 days’ notice of a change by email to the address on the partner’s account and in the partner dashboard, except where a change is required by law or to prevent fraud, when it may take effect sooner.
A change applies only to commission earned after it takes effect. Commission already recorded keeps the rate and terms under which it was earned.
Continued participation after the notice period is acceptance of the change. We may also ask a partner to accept the updated terms in their partner dashboard; until they do, commission continues to be recorded but cashout requests are paused. A partner who does not agree to a change may leave the Program under section 9 before it takes effect.
11. Confidentiality
Individually agreed commission rates, hold periods and other terms agreed with a partner, the contents of the partner dashboard (including customer, order and commission data), and any non-public information about the Program are confidential. A partner must not disclose them to anyone except their own professional advisers, or where the law requires it. The standard rates published on our website are not confidential.
12. Taxes
Each partner is solely responsible for all taxes, social security contributions, reporting and filings arising from Program payments in their own jurisdiction. Payments are made gross, without deduction, unless the law requires us to withhold, in which case we pay the net amount. We may ask for information needed to meet our own legal obligations.
13. Relationship
Partners are independent. Nothing in the Program creates an employment, agency, partnership or joint-venture relationship, and a partner has no authority to bind WorldwideBioResearch Ltd or to make representations on its behalf.
14. Research use only
All products supplied by WorldwideBioResearch Ltd are intended strictly for laboratory, in-vitro and research use only. They are not approved for human consumption, therapeutic use or veterinary application by the MHRA, FDA or any other regulatory authority. Partners must reproduce this notice as written wherever they describe our products and must not make, imply or endorse any contrary claim.
15. General
These terms are governed by the laws of England and Wales. Sections 5, 6, 8, 11, 12, 13 and 14 survive termination. If any provision is found unenforceable, the remainder continues in effect. Questions about the Program: support@worldwidebioresearch.com.
